SEO Reseller Agreement:

This agreement does not appoint SEO Traffic Solutions Ltd. as your ONLY SEO reseller, nor does it commit you to using SEO Traffic Solutions Ltd. as your SEO Reseller Provider for ANY set period of time. This agreement is simply terms to follow while working together.

Definitions:

SEO Traffic Solutions Ltd.- The “company” providing the service.

SEO Reseller- The ‘independent contractor” who will provide and resell the services of SEO Traffic Solutions Ltd. as set out below.

“I”- The party entering into the agreement, either a natural person or company of any kind.

“Client”- The “person” for whom the SEM/SEO is preformed.

1. I understand that I am not an employee or franchise owner or extension of SEO Traffic Solutions Ltd. I understand that I/we are an Independent SEO Reseller and will not be as an employee for purposes of the Social Security Act, The Federal Unemployment Tax Act, Income Tax withholding at source, the Federal Insurance Contributions Act, or any laws governing employees. I understand that SEO Traffic Solutions Ltd. will provide, as provided by law, appropriate documentation of compensation to the SEO Reseller and said SEO Reseller shall be responsible for any and all taxes from the SEO Reseller to the appropriate government governing the SEO Reseller.

2. I hereby agree to conduct myself in the highest standards of ethics, honesty and integrity, and to conduct myself as a SEO Reseller in a legal manner according the laws governing “me” (the SEO Reseller) and laws governing SEO Traffic Solutions Ltd. Additional, I hereby agree to the official and posted SEO Traffic Solutions Ltd. SEO Code of Ethics.

3. SEO Traffic Solutions Ltd. agrees to never communicate with the end client in any method unless requested by the SEO Reseller.

4. SEO Traffic Solutions Ltd. agrees to never take on a client who previously or currently belongs to a SEO Reseller unless the SEO Reseller permits them to do so.

5. SEO Traffic Solutions Ltd. agrees to keep all SEO Reseller business communication and information strictly confidential.

6. SEO Traffic Solutions Ltd. agrees to never use an end client in their portfolio unless specifically given written permission to do so.

7. I understand that I am strictly prohibited from using the SEO Traffic Solutions Ltd. name, logo or website content in any form unless given specific approval by SEO Traffic Solutions Ltd.

8. I agree that as an Independent SEO Reseller of SEO Traffic Solutions Ltd., the Terms and Conditions that I agree to do not apply to my business or relationships with SEO Resellers of my own. The terms and service in this document are for the business relationship between me and SEO Traffic Solutions Ltd. only.

9. SEO Traffic Solutions Ltd. shall collect payment upfront on a monthly basis for the first 3 months of business with the SEO Reseller. After payment for the first month is received, work will begin on the following working day. All invoices will be sent out 10 days before the next payment due date. If the payment in full is not received by the due date then the campaign will naturally be placed on pause. Because SEO is time dependant and also momentum driven, a time gap in services can substantially detriment a campaign and is therefore not recommended. At the beginning of the 4th month and at the discretion of SEO Traffic Solutions Ltd. the SEO Reseller may enter into 30 day payment terms. If payment is not received by the due date, irrespective of whether the SEO Reseller has received payment from the client, then the campaign will naturally be placed on paused.

10. I understand that I have the right to assign my business by sale or will to any other person, partnership, or corporation completely independent of SEO Traffic Solutions Ltd.

11. I understand that I may not make any misleading or false statement or representation regarding SEO Traffic Solutions Ltd. products, services, and agreements other than those contained in materials provided directly by SEO Traffic Solutions Ltd.

12. I understand that the company may modify Terms and Conditions, policies and procedures upon reasonable notice to its Independent SEO Resellers which shall not be less than 30 days.

13. I understand that this agreement, constitutes the entire agreement between the parties herein and no other additional promises, representations, guarantees, or agreements of any kind shall be valid unless specified and signed in writing.

14. This agreement shall be interpreted under the law of the United Kingdom. Any unresolved dispute will be exclusively resolved by binding arbitration under the commercial rules of the British Arbitration Act with arbitration to occur at a determined location agreed on by SEO Traffic Solutions Ltd. legal counsel.

15. SEO Traffic Solutions Ltd. accepts payments via PayPal (PayPal accepts all major credit card types), BACS electronic payment, and cheques made payable to SEO Traffic Solutions Limited. I agree that service will not start on client services until the payment is received by SEO Traffic Solutions Ltd.

16. I understand that SEO Traffic Solutions Ltd. may terminate my SEO Traffic Solutions Ltd. agreement and immediately stop client services if I fail to comply with this agreement.
